Terms of Service

Please read these Terms ("Terms") carefully. By installing or using SlackDesk, you agree to these Terms.

1. Parties & Agreement

These Terms are between SlackDesk ("Provider", "we") and the customer (the Slack workspace owner or entity) ("Customer", "you"). If you use SlackDesk on behalf of an organization, you represent you have authority to bind it.

2. The Service

SlackDesk is a Slack-native helpdesk. Features include ticketing, App Home views, department routing, optional integrations (e.g., Jira, Email-in, Sheets), and automation. We may modify non-material aspects to improve reliability or security.

3. Accounts & Installation

Customer must have Slack admin permissions to install. Customer is responsible for: (i) configuration, (ii) authorized users' actions, and (iii) maintaining accurate billing info (for paid plans).

4. Customer Data & IP

"Customer Data" means content submitted or generated in your workspaces (tickets, attachments, metadata). You own Customer Data. You grant us a non-exclusive license to process Customer Data to provide the Service and as otherwise permitted by these Terms.

Feedback you provide may be used to improve the Service.

5. Privacy & Security

Our Privacy Policy forms part of these Terms. We implement industry-standard security measures, verify Slack signatures, and store secrets encrypted.

You acknowledge third-party platform dependencies (Slack, sub-processors) are required for the Service.

6. Third-Party Services

Optional integrations (e.g., Jira, Google, Microsoft, Postmark/Resend, Notion, Confluence) are provided "as-is" via their APIs. Your use is subject to those providers' terms. We are not responsible for their uptime, changes, or data handling.

7. Acceptable Use

You will not: (i) misuse the Service, (ii) probe or breach security, (iii) share access tokens, (iv) send spam, or (v) infringe others' rights. We may throttle or suspend usage that threatens stability or violates these Terms.

8. Plans, Fees, Taxes

Free and paid plans are described on our site. MSP and Team plans are priced flat (not per seat) unless stated otherwise. Fees are billed in advance; taxes (if any) are your responsibility. Plans auto-renew monthly/annually until canceled.

9. Uptime & Support

The Service is provided on a commercially reasonable efforts basis. We target high availability but do not guarantee uninterrupted service. Standard support via email; priority support for higher tiers as listed on our site.

10. Beta/Pre-release Features

We may offer beta features marked as such—use at your discretion and risk. Beta features may change or be discontinued.

11. Suspension & Termination

We may suspend or terminate for material breach, illegal activity, or platform abuse. You may cancel at any time; refunds are not guaranteed. Upon termination/uninstall, we cease processing; you may request data export or deletion (Section 13).

12. Warranties & Disclaimers

EXCEPT AS EXPRESSLY SET OUT HERE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS/REVENUE/GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES PAID BY YOU TO US FOR THE SERVICE IN THAT PERIOD. NOTHING HERE LIMITS LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT.

14. Data Export & Deletion

During the term and for 30 days after termination, you may request an export of Customer Data (CSV + links). On verified admin request, we will delete Customer Data within 30 days (subject to legal retention obligations).

15. Compliance & Platform Rules

You agree to comply with applicable laws and Slack's policies. If Slack restricts our app or APIs, we may adjust the Service to remain compliant.

16. Governing Law & Disputes

These Terms are governed by the laws of [State/Country], excluding conflicts of law. Disputes will be resolved in the courts located in [City, State/Country]. The UN Convention on Contracts for the International Sale of Goods does not apply.

17. Changes to Terms

We may update these Terms. Material changes will be notified to workspace admins or via our site. Continued use constitutes acceptance.
